Profile: Lead Board Secretariat
Experience : 8 to 12 years
Qualification : CS & LLB
Location : Mumbai (BKC)

Job Purpose:

Advising on good governance practices and compliance of Corporate Governance norms as prescribed under various Corporate, Securities and Other Business Laws and regulations and guidelines made there under.

Job Description:

1. Hands on previous experience in working closely with Stock Exchanges, listed companies, IPO handling including co-ordination with Depositories, merchant bankers, RTA etc.
2. Drafting of prospectus/offer for sale/letter of offer/other documents related to issue of securities, Private Placement/Preferential Issue and obtaining various approvals in association with lead managers
3. Listing of securities/de-listing of securities with recognized stock exchange
4. Buy-back of shares and other securities
5. Advising companies on routine and event based Securities Law compliance.
6. Promotion, formation and incorporation of companies and matters related therewith
7. Filing, registering any document including forms, returns and applications by and on behalf of the company as an authorized representative
8. Maintenance of secretarial records, statutory books and registers
9. Arranging board/general meetings and preparing minutes thereof
10. Manage the closure of all Action items arising out of Board and committee meetings and systematic reporting of the same.
11. All work relating to shares and their transfer and transmission
12. Loan Documentation, registration of charges, status and search reports
13. Communication with shareholders, stakeholders, Government and Regulators, Authorities, etc.
14. Managing all Statutory Compliance related to Companies Act, RBI & Payment and Settlement Act.
15. Providing support in Secretarial Audit/Internal Audit/Annual Report related assignments, Liaising with Independent Directors, external regulatory authorities and service providers.
16. Drafting of MOA & AOA including the amendment of various clauses.
17. Advising directors on their duties, and ensuring that they comply with corporate legislation and the Articles of Association of the Company.
